1. Who you are contracting with

These terms are an agreement between you and Fluent Chinese, trading as Fluent Chinese and operating the website fluentchinese.online ("Fluent Chinese", "we", "us"). They govern your use of our website, lessons, practice tools, reading library, downloadable resources, community and memberships (together, the "Service").

2. Acceptance

By creating an account, purchasing a membership, or continuing to use the Service, you agree to these terms. If you do not agree, please stop using the Service. If you are using the Service on behalf of an organisation, you confirm you have authority to bind it; if you are using it as an individual, you confirm you are of legal age to enter into this agreement in your country.

3. What we provide

Fluent Chinese provides online Chinese language learning materials and tools: pinyin and sentence pattern practice, reading lessons, daily practice, learning games, teacher audio, articles, downloadable study resources and a community area. Some content is free and some requires an active membership.

4. Your account

You must provide accurate information and keep it up to date. You are responsible for keeping your login credentials confidential and for all activity that happens under your account. Tell us promptly if you believe your account has been accessed without your permission.

5. Acceptable use

You must not misuse the Service. In particular, you must not:

• use the Service for anything unlawful, or to harass, abuse or harm others;
• engage in fraud, spam or misrepresentation;
• infringe the intellectual property or other rights of Fluent Chinese or any third party;
• interfere with the security or integrity of the Service, including uploading malware, probing or scanning our systems, bypassing access controls, or scraping content;
• share, resell, redistribute or publicly post members-only lessons, audio or downloadable resources;
• reverse engineer the Service or circumvent technical limits or usage caps.

6. Licence and intellectual property

Fluent Chinese retains all ownership and intellectual property rights in the Service, including its lessons, texts, recordings, images, downloadable materials, software and branding. Subject to these terms and your plan, we grant you a limited, non-exclusive, non-transferable right to access and use the Service and to use downloaded resources for your own personal learning or your own teaching, not for redistribution or resale.

You keep ownership of any content you submit, and grant us a limited licence to host and process it solely to operate and provide the Service.

7. Service level

We work to keep the Service available and accurate, but we do not guarantee that it will be uninterrupted, error-free or free of inaccuracies. Content is provided for language learning purposes. To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability and fitness for a particular purpose.

8. Payment and subscription terms

Memberships are sold on a recurring basis at the prices shown on our Membership page, and renew automatically until cancelled. You can cancel at any time and keep access until the end of the period you have paid for. Plan changes between monthly and yearly take effect at the next renewal.

Payment, billing, taxes, invoicing, cancellations and refunds are handled by Paddle in accordance with the Paddle Checkout Buyer Terms. Our Refund Policy explains how to request a refund.

9. Our reseller

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.

10. Suspension and termination

We may suspend or terminate your access if you materially breach these terms, fail to pay, create a security or fraud risk, or repeatedly or seriously violate our acceptable use rules. Where reasonable and lawful, we will tell you first and give you a chance to fix the problem. You may stop using the Service and close your account at any time.

When access ends, your right to use the Service and members-only materials ends. You may request an export of your learning data before deletion.

11. Liability

To the fullest extent permitted by law, Fluent Chinese is not liable for indirect, consequential or special damages, including loss of profits, data or goodwill. Our total aggregate liability is limited to the fees you paid in the twelve months before the event giving rise to the claim. Nothing in these terms excludes liability for fraud, death or personal injury caused by negligence, or any other liability that cannot be excluded by law.

You agree to indemnify us against claims arising from your content, your unlawful use of the Service, or your breach of these terms.

12. Changes to the Service and these terms

We continue to develop Fluent Chinese and may add, change or remove features. We may update these terms; the date at the top of this page shows the latest version, and continued use after a change means you accept it.

13. General

You may not assign this agreement without our consent; we may assign it as part of a merger, acquisition or reorganisation. Neither party is liable for delays caused by events beyond its reasonable control. If any provision is unenforceable, the rest remains in force. These terms are governed by the laws applicable at our place of business, and disputes will be handled by the courts of that jurisdiction, without affecting mandatory consumer rights in your country of residence.
